Proposed Private Placement

Lysander Minerals, subject to regulatory approval, has proposed to issue up to 500,000 units at a price of 30 cents per unit to various purchasers via a non-brokered private placement. All of the units will comprise one Lysander common share and one share purchase warrant. Some or all of the units offered shall include flowthrough shares. Each share purchase warrant shall be exercisable for the purchase of one non-flow-through common share at a price of 30 cents per share for a period of one year from the date of closing of the placement. No finder's fees shall be payable with respect to this offering.

Proceeds of the placement of $150,000 (less regulatory filing fees) will be used for general working capital and the continuing exploration of the Company's CAT property which adjoins the Company's Lorraine-Jajay property in north-central British Columbia. The Lorraine-Jajay property is under option to Eastfield Resources Ltd. Eastfield plans a $2.5-million exploration program on the Lorraine-Jajay property commencing in June 2004.
